SERVICES AGREEMENT
between Alderbank Payments GmbH ("Alderbank") and Kestrel Row Logistics B.V. ("Merchant"), dated 11 January 2026.

1. Term. 12 months from 1 February 2026. Automatic renewal for 12 months unless notice is given 30 days before expiry.
2. Fees. 0.9 percent of payment volume plus EUR 0.08 per transaction. Minimum monthly fee EUR 1,200.
3. Termination. Merchant may terminate for convenience on 60 days notice. Alderbank may suspend the service immediately on suspicion of fraud.
4. Liability. Alderbank's liability is limited to EUR 100,000 per claim, and does not apply to death or personal injury, or to fraud.
5. Data. Each party is an independent controller of the personal data it receives. No sub-processor list applies.
6. Governing law. German law. Place of jurisdiction is Frankfurt am Main.
