MASTER SERVICES AGREEMENT
between Tidewater Analytics Ltd ("Provider") and Kestrel Row Logistics B.V. ("Client"), dated 19 June 2024.

1. Term. Initial term of 24 months from 1 July 2024. Thereafter the agreement continues until terminated. Either party may terminate on 180 days written notice.
2. Fees. GBP 9,500 per month. Provider may change fees on 60 days notice at any time.
3. Termination. Client may terminate for convenience at any time on 180 days notice. Provider may terminate immediately if Client is late with any payment by more than 10 days.
4. Liability. Provider's liability is limited to GBP 25,000 in aggregate for the whole term. Provider is not liable for any indirect loss or loss of profit. Client's liability is unlimited.
5. Data. Provider may process Client data, including personal data, to improve its own products.
6. Governing law. The laws of England and Wales. The English courts have non-exclusive jurisdiction.
7. Assignment. Provider may assign this agreement to any affiliate without consent.
